Emily provides advice and counsel to businesses on a broad range of government contracting matters to help them comply with regulatory requirements, defend protests, and maximize federal contracting opportunities. She represents clients in bid protests before the Government Accountability Office (“GAO”) and the Court of Federal Claims (“COFC”), as well as size and status protests and appeals before the Small Business Administration (“SBA”).
Emily advises small businesses on issues related to eligibility and participation in the SBA’s socioeconomic programs, including the 8(a) Business Development, SDVOSB, WOSB/EDWOSB, and HUBZone Programs. She also guides contractors through the process to enter the SBA’s Mentor-Protégé Program and form joint ventures to pursue set-aside awards, and represents commercial businesses in PPP and COVID-EIDL loan matters before the SBA.
Additionally, Emily counsels federal contractors on structuring mergers and acquisitions and other corporate transactions to ensure compliance with federal contract and regulatory requirements, including the Federal Acquisition Regulations (“FAR”) and the SBA regulations. For those transactions, she performs due diligence and counsels buyers and sellers on pre-closing and post-closing notification, consent, and recertification requirements.
In her previous role as an Attorney Advisor for the SBA’s Office of Hearings and Appeals, Emily helped draft more than 100 decisions involving government contracting disputes. She was awarded the Marilyn Neforas Scholarship for Young Lawyer Women in Public Contract Law by the American Bar Association’s (“ABA”) Public Contract Law Section. Emily also serves as Co-Chair of the Section’s Small Business & Other Socioeconomic Programs Committee and the Young Lawyers Committee.
Emily earned her law degree from Vanderbilt Law School and her bachelor’s degree from Saint Louis University.
